I can only answer this using the two I's of doom:
Illegal and Impossible
If MP2 COULD be converted to MP1, it'd still be using all the same graphics of MP2, which wouldn't make the game run slower or faster.
And owners of MP1 could use this to get MP2 free.
The story? It's possible but it wouldn't be as fun and as for copying the levels I would think it would be illegal, but I'm not too sure.
But I seriously doubt anyone is going to go through the hard work of porting Max Payne 2's story, levels and cinematics to Max Payne 1.

lets see, spend 28,000 (+/- 5,000) hours working on converting MP2 into the MP1 engine, OR spend much less time working/saving lunch money for new PC parts to play MP2 and other new games ... hmmmmmm. http://forums.3drealms.com/ubbthreads/images/graemlins/tongue.gif sorry http://forums.3drealms.com/ubbthreads/images/graemlins/grin.gif http://forums.3drealms.com/ubbthreads/images/graemlins/wink.gif http://forums.3drealms.com/ubbthreads/images/graemlins/wink.gif http://forums.3drealms.com/ubbthreads/images/graemlins/wink.gif

If you had an infinite number of monkeys sitting in front of an infinite number of MaxEds and infinite time, you could probably port MP3 to MP1 as well.
Oh, wait, textures are too big? Character models different? Graphic novel's different? Havok physics?
Buying the PC version isn't a complete waste, you can still listen to the sound files and dream? Or is your PC too wimpy to fully install MaxEd2?
