Max Payne won't install

whenever I try to install Max Payne 1 on WInXP, I get this message:
C:/WINDOWS/SYSTEM32/AUTOEXEC.NT. The system file is not suitable for running MS-DOS and Microsoft Windows applications. Choose 'close' to terminate the program
[Close] [Ignore]

it used to work fine on WinXP till i unistalled it.

I had the same problem myself, if you go into the Disk 1 folder on the CD and use the setup there it should install.
