Lockups remedy works, but
---"Lockups when quitting game
Is your copy of Max Payne locking up your computer when you quit it? If so, then do this, and you should be fine: Enter the Multimedia properties, change the playback & Recording device to game compatible and also reduce hardware acceleration for the sound card."--- the only problem i had with MP is the one above and the taskbar flashing. i went through the above procedure and it DID solve the problem of exiting the game, but now when i play the game the sound is very choppy and sounds crappy. is there something i'm missing? i'll reply to myself because i figured it out. disabling the sound on the voice modem solved the problem. maybe this will help some of you that are having the same issue. try this before you switch settings to "game compatible."
